LIMITATION OF LIABILITY. STERLING SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE WEBSITE OR MATERIAL AND INFORMATION IN THE SITE, EVEN IF STERLING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCLUSIONS AND LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Governing Law. The User Agreement and the relationship between you and Sterling shall be governed by and construed in accordance with the laws of the State of Colorado without regard to its conflict of laws analysis.

Waiver.  Sterlings’failure to exercise or enforce any right or provision of the User Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Sterling in writing.

Severability. If any provision of the User Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in such provision, and, notwithstanding such finding, all other provisions of the User Agreement shall remain in full force and effect.

Time Limitation. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the User Agreement or use of the website must be filed within one year after such claim or cause of action arose or be forever barred.

Headings. The section headings and sub-headings contained in the User Agreement are for convenience only and have no legal or contractual effect.
